Welcome to EasySwap! These Terms and Conditions ("Terms") govern your access to and use of the EasySwap website and battery swapping services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

 

1. Definitions

 

• "EasySwap," "we," "us," or "our" refers to EasySwap, the battery swapping service provider.

• "User," "you," or "your" refers to the individual or entity using the EasySwap website and Services.

• "E-Rickshaw" refers to the electric rickshaw vehicle for which the battery swapping service is provided.

• "Battery" refers to the Lithium-Ion battery provided by EasySwap for swapping.

• "Swapping Station" refers to the designated location where battery swapping services are offered.

• "Subscription Plan" refers to the chosen plan for accessing EasySwap's battery swapping services.

 

2. Eligibility and Account Registration

 

• You must be at least 18 years old and capable of entering into a binding contract to use our Services.

• To access certain features of the Services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

• You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to notify EasySwap immediately of any unauthorized use of your account.

 

3. Battery Swapping Service

 

• Service Availability: EasySwap provides battery swapping services for E-Rickshaws at designated Swapping Stations in Tier 2 and Tier 3 cities in India. Service availability may vary by location and time.

• Battery Ownership: All batteries provided by EasySwap remain the exclusive property of EasySwap. Users are granted a temporary right to use the battery as part of the swapping service.

• Battery Condition: You agree to return batteries in a reasonable condition, normal wear and tear excepted. Any damage to the battery beyond normal wear and tear, or loss of the battery, may result in additional charges as determined by EasySwap.

• Proper Use: You agree to use the batteries solely for powering your E-Rickshaw in accordance with the manufacturer's specifications and these Terms. Misuse, alteration, or tampering with the battery is strictly prohibited and will result in immediate termination of services and potential legal action.

• Swap Procedure: Users must follow the prescribed swapping procedure at the Swapping Station. This typically involves returning a depleted battery and receiving a fully charged one.

• Pricing and Payments: Details regarding Subscription Plans, pricing, and payment methods will be clearly outlined on our website or at Swapping Stations. You agree to pay all applicable fees and charges associated with your chosen Subscription Plan and any additional services or penalties incurred. Payments are typically non-refundable.

 

4. User Responsibilities

 

• You are responsible for ensuring your E-Rickshaw is compatible with EasySwap batteries.

• You must adhere to all traffic laws and regulations while operating your E-Rickshaw with an EasySwap battery.

• You agree not to use the Services for any unlawful or prohibited purpose.

• You are responsible for regularly checking the EasySwap website for updates to these Terms and other service-related information.

 

5. Intellectual Property

 

• All content on the EasySwap website, including text, graphics, logos, images, and software, is the property of EasySwap or its licensors and is protected by intellectual property laws.

• You may not use, reproduce, distribute, or create derivative works of any content from the EasySwap website without our express written permission.

 

6. Disclaimers and Limitation of Liability

 

• "AS IS" Basis: The EasySwap Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

• No Guarantee of Uninterrupted Service: EasySwap does not guarantee that the Services will be uninterrupted, error-free, or secure. We may suspend or terminate services for maintenance, upgrades, or other operational reasons without prior notice.

• Limitation of Liability: To the maximum extent permitted by law, EasySwap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use or alteration of your transmissions or c1ontent, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

• Maximum Liability: In no event shall EasySwap's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the Services during the twelve (12) months immediately preceding the date of the claim.

 

7. Indemnification

 

You agree to indemnify, defend, and hold harmless EasySwap, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to your use or misuse of the Services, your violation of these Terms, or your violation of any rights of a third party.

 

8. Termination

 

• We may terminate or suspend your access to all or part of our Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

• Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

 

9. Governing Law and Dispute Resolution

 

• These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

• Any dispute or claim arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.

 

10. Changes to Terms

 

• We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

• By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

 

11. Miscellaneous

 

• Entire Agreement: These Terms constitute the entire agreement between you and EasySwap regarding our Services and supersede and replace any prior agreements we might have between us regarding the Services.

• Waiver and Severability: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
